Page 1 of 21 PREFACE Welcome Home! This booklet is designed to be a resource for you as you settle into your new community and perpetually, as questions arise. Waterlefe Golf & River Club is a deed-restricted community and as such, is governed by our Declaration of Covenants, Restrictions and Easements, Articles of Incorporation and Bylaws. As a homeowner, you are a member of our Master Property Owners’ Association (MPOA) and by virtue of homeownership, are bound by the rules and regulations of our Association. The MPOA Management Office is located on the ground floor of the River Club. A full-time, in-house professional management staff administers the business of our association under the direction of your elected, volunteer Board of Directors. What is the MPOA and its Responsibilities The Waterlefe Master Property Owners’ Association (MPOA) is a not-for-profit FL Corporation governed by the FL Homeowners’ Association Act, FL Statute 720. Every homeowner is automatically a member of the MPOA, and the MPOA Board of Directors consists of five elected Waterlefe homeowners. Quarterly assessments paid to the MPOA fund all repair and maintenance to Association owned amenities, which include the River Club facilities (fitness center, dining rooms, pool), The Pointe (kayak racks, picnic pavilions, playground lookout tower), boatlift and viewing pier. The community’s bulk Spectrum contract and Villas section bulk landscape contract are also managed by the association. Covenant compliance administration also fall under the MPOA. What is the CDD and its Responsibilities The Waterlefe Community Development District (CDD) is a quasi-government body governed by the FL Sunshine Law, FL Statute 786. The Waterlefe CDD Board of Supervisors consists of five elected Waterlefe homeowners. CDD fees are paid via your Manatee County property taxes. These fees fund all common area repair and maintenance (roads, landscaping, ponds, canals, access gates, golf course). The Golf Club is owned by the CDD. There is no automatic membership to the Golf Club, but Waterlefe homeowners enjoy access to its amenities.

Page 4 of 21 RIVER CLUB OVERVIEW Waterlefe River Club is an amenity of the Master Property Owners’ Association and as such, is funded by your MPOA fees. The River Club houses many of the community amenities available to residents, including the dining facilities at which purchases contribute to your food & beverage annual minimum. - Fitness Center o The fitness center is accessible 24/7 and is located within the River Club. With cardio machines, free-weights, and a great variety of lifting machines, a visit to the River Club’s fitness center will help you to stay healthy and maintain your fitness goals. In order to use the fitness center, residents must sign the fitness center waiver. - Pool o Members can soak up the sun with a beautiful view of the Manatee River all from the River Club pool! With two dedicated lanes for lap swimming, plenty of space to lounge, tables and chairs, and shaded areas, this heated pool offers something for everybody to enjoy! Chairs are first-come-first-served and members must bring their own towel. - Dining Options *Each dining location has a specific dress code which can be found here. Please be informed and up to date prior to your visit to the River Club. *All purchases made at River Club dining locations (including alcohol purchases) are included in the annual minimum. Minimum contributions are counted prior to tax and gratuity. o Tiki Bar ▪ Enjoy the benefits of our beautiful pool amenities while indulging in some of the great food and drinks ▪ Dress Code: Casual, bathing attire acceptable o The Bistro ▪ The Bistro and Bar are great options for a delicious yet casual dining experience to enjoy unparalleled sunsets over the Manatee River and the camaraderie of your fellow neighbors. ▪ Dress Code: Country Club Casual (no swimsuits, cut-offs, tank tops) o Main Dining Room ▪ The River Club’s formal dining room offers a scrumptious culinary experience in a luxury setting all within the gate of your own community. ▪ Dress Code: Country Club Casual (no swimsuits, cut-offs, tank tops, nor hats) ▪ Special Event Dress Code: Sport coats and slacks for Gentlemen (collared and golf shirts also acceptable). Located downstairs in the River Club, residents can enjoy the book sharing space to explore new genres and learn something new through this constantly changing library of novels. - The Pointe o Located just outside of the River Club, The Pointe offers children a playground area to run and play all day while adults enjoy the peaceful ambiance of our outdoor amenities like the Lookout at The Point and the pier. - Kayak Storage o The MPOA offers rental space near the River Club for kayaks and canoes for residents who prefer alternate forms of entertainment along the Manatee River. MARINA CLUB OVERVIEW If you are a boat owner and you do not live on a canal, the Marina Club is a great opportunity for you to have easy access to your boat within the gates of Waterlefe. This private, equity membership club allows members assigned access to a designated slip right on the Manatee River or within the canals of Waterlefe. Page 6 of 21 MPOA COMMITTEES A thriving community is achieved through positive homeowner engagement. Waterlefe has a governing Board of Directors setting policy for a professional management staff to implement and enforce, complimented by dynamic volunteer committees effectively providing specific expertise, community feedback and analysis. You are encouraged to join your neighbors and volunteer in your area of expertise or interest. The MPOA 2022 Standing Committees include: Activities Committee - The MPOA Activities Committee’s mission is to work with the River Club manager to prepare the annual calendar of events and functions held at the River Club. Members develop ideas each year and may reach out to community members to help organize the functions. Finance Committee - The Finance Committee is a standing committee of the Board of Directors, created by the Bylaws to provide advice and make recommendations for the Board of Directors on financial policy, financial management and reporting and other matters affecting the financial well-being of the club, both current and long term. River Club Committee The River Club Committee is a standing MPOA committee dedicated to consistent evaluation of our community’s main amenity, including the dining rooms, fitness center, pool, as well as The Pointe and its playground, kayak launch and viewing areas. Strategic Planning Committee - A standing committee of the Board of Directors and Community Development District assembled to recommend long range plans for the utilization of the club’s properties and other assets to maximize their benefits to the membership. Design Review Board - The Design Review Board (DRB) enforces the “Architectural Requirements and Standards for Residential Change”, a document developed by the DRB and approved by the MPOA Board in May 2021 or as it is subsequently amended, which supports the Waterlefe Declaration of Covenants. This document guides all Applications of Residential Change. Covenant Enforcement Committee - The Covenant Enforcement Committee acts as Appeals Court for all homeowner fines and/or loss of use rights levied by the MPOA Board.

Page 8 of 21 The Waterlefe Artists Guild (WAG) is composed of resident artists who create original work in varied media and formats, including 2-dimensional (painting, photography, drawing, and printmaking), 3-dimensional (pottery, sculpture, fiber arts, and jewelry), and authorship. Residents may be part-time or full-time Waterlefe residents. WAG is an amiable and talented community of men and women who will love to have you as a member. WAG’s PRIMARY EVENT WAG hosts an annual one-day Waterlefe artist show. At this show, usually in November, all guild artists are welcome to display their work and, if so desired, offer it for sale. This free show, open to the public, is a fund-raiser with most of the proceeds benefitting the art programs at our local elementary and middle schools, Freedom and Haile. An auction with wonderful raffle items and fabulous baskets is offered during the show. Following the show is a distinctive, celebratory dinner. OTHER PROJECTS - Every month the MPOA publishes a monthly online newsletter, Lefe Life, features the work of one or two of our artists. - WAG in Motion (temporarily halted during COVID) is our sharing program where members provide their expertise to other members by showcasing techniques, they have learned in a particular medium. - Occasional social gatherings afford members the opportunity to share ideas, insights, and fellowship. All interested residents (whether budding beginners or long-time professionals) are invited to join WAG. Assessment Collection Prepare invoices for quarterly association assessments, dues, fines, or other amounts due to the Association. Track collections and follow-up with delinquent notices as needed. Audits, Asset & Reserve Management Provide supporting schedules and accurate accounting records to ensure the efficient and timely completion of the annual audits and reviews of all Association funds and assets. Budgeting Coordinate the preparation of the MPOA’s annual operating budget and monitor disbursements/expense payments. Financial Statements Prepare monthly, quarterly, and annual financial statements. Procurement and Management of Insurance Facilitate the contracting and continued coverage of a community wide insurance policy with appropriate coverage of Waterlefe MPOA assets. Tax Preparation Coordinate the preparation and filing of federal income taxes. Page 11 of 21 Community Inspections Perform regular inspections of properties to ensure compliance with deed restrictions and Waterlefe covenants. Prepare and send compliance notices as necessary. Compliance Ensure the MPOA is compliant with Waterlefe governing documents and the Florida Statutes. Emergency Services Coordinate the emergency and after-hours services as necessary to minimize the disruption of normal MPOA activities. Facilities Maintenance Provide routine upkeep and maintenance of all MPOA facilities within the community. Meeting Planning Prepare agendas, meeting materials and all other documents necessary for presentation at regular or special meetings of the Master Association and Sub Associations. Vendor Contracting, Coordinating, Management of Services Serve as point of contact for all contracted services to ensure all services provided are satisfactory and according to contractual obligations. Sub-Association Management Manage the operations and official functions of all sub-associations within the community, including but not limited to: recording minutes, leading meetings, complying with covenants, and providing administrative support. Page 12 of 21 UTILITIES SET-UP INFORMATION A. Cable and Internet: Bulk Contract with Spectrum Networks Basic cable and internet are included in your MPOA fees. Services include 100 HD channels, HBO, music channels, and two free converter boxes. Homeowners are also provided free 200 Mbps Internet speed, a free modem and free Wi-Fi router. Call Spectrum at 855-657-7328. Remember to inform them that you live in Waterlefe, a sub-division that has a bulk digital cable TV and Internet contract with Spectrum. B. Garbage, Yard Waste, and Recycling Service Our garbage service, curbside twice a week, is from the county and is included in your Manatee County Utilities Customer Service (MCUD) bill with water and sewer charges. Mondays and Thursdays are for household waste pick-up. Wednesdays are for yard waste pick up (Please remember not to place yard waste by the curb until Tuesday evening dusk). Every home has a large blue container for recycling which is picked up on Mondays. Look for notices about pick-up day changes due to a holiday in your water bill. Generally, a national holiday delays pick-up by one day. C. Page 13 of 21 COMMUNITY MAP Fishing Locations (not marked on map above) - Throughout Waterlefe there are multiple locations where residents can fish along the Waterlefe canals and Manatee River. Residents who own property along the canals are able to fish from their own property but, if you are on a land-locked lot then you can still enjoy the great fishing locations around the community. Please note: Fishing within Waterlefe is reserved for Waterlefe residents only. Walking Trails - Residents who want to enjoy some of the beautiful nature that Waterlefe has to offer can take a stroll through some of the walking trails winding through Waterlefe! Page 14 of 21 GOLF CLUB OVERVIEW Waterlefe Golf Course is an amenity of the Community Development District (CDD), supplemented by the CDD fee on your property tax bill. As a host to the 2021 US Open Qualifier, Waterlefe is proud of the upscale experience you receive from our full 18-hole course available through our Golf Club. With six different tee options and a beautiful course that winds through Waterlefe’s landscape and real estate, you will be impressed by the challenge and excitement our course presents. Membership to the Golf Club is not bundled with homeownership and the Club is semi-private. Waterlefe homeowners are encouraged to consider the benefits of a Golf Club membership and are always welcomed to reserve tee times and dine in the Grille Room, no matter your membership status. - Pro Shop o Stop by the Golf Club’s Pro Shop for all your equipment, attire, and golf accessory needs. This one-stop-shop lets you register to play, prep for the day, and grab any last-minute items you may need for your golfing experience. - Grille Room o Looking to get a bite to eat after a round of golf? Stop by the Grille Room inside the Golf Club for a relaxing dining experience featuring breakfast, sandwiches, and salads. Please note: any purchases made at the Grille Room do not apply towards your annual food and beverage minimum at the River Club. To make purchases at the Grille Room you will need to set up a separate member account at the Golf Club. - Memberships o The Golf Club offers a membership opportunity for residents to become an active part of the golf community here at Waterlefe. With perks such as unlimited play, preferred tee times, and special member-only events, the Golf Club is the perfect place to rediscover golf the way it was meant to be played! - Programs o Two of the most popular programs available at the Golf Club are the Summer Golf Program and Trial Program. The Summer Golf Program offers a low rate for families to enjoy all the club amenities for the duration of the summer. The Trial Program allows residents a chance to test out our membership program through either a 60- or 90-day trial.

Page 15 of 21 CDD OVERVIEW What is a CDD? A community development district is governmental entity whose purpose is to plan for the long-term needs of the community. The CDD, which is governed by 5 Board or Supervisors, focuses to maintain and improve the common areas throughout the community to include roadways, landscaping, ponds and pond banks. A CDD will also have professional managers who will carry out the policies and tasks on behalf of the Board. What are the CDD Bonds? Originally, the CDD issued three separate series of bonds—the 2001 A series and 2001 B series Capital Improvements Revenue Bonds, and the 2001 Series Golf Course Revenue Bonds. The “A” Series bonds are usually referred to as long-term bonds. These are the bonds that are repaid by the debt service portion of the CDD’s non-ad valorem assessments on the property owner’s tax bill. All land with the CDD was assessed its pro-rata share of the “A” Series best. Any current landowner has the right to pay off its portion of the “A” Series debt at any time during the life of the bond term. These bonds run through the original maturity date of 2031. In 2012, the CDD refinanced the “A” Series 2001 Bonds, which resulted in an annual debt service assessment reduction. The “B” Series bonds are considered short term bonds and were repaid by WCI upon the sale of a lot to a property owner, and never passed through to the property owner. In 2016 the CDD extinguished the 2001 Golf Course Bonds held by external bondholders and created a 20-year replacement bond that will be repaid in 2036. All homeowners contribute the same amount towards these bonds. This action allowed the CDD to own the golf course outright and prevented loss of control from third parties. What relationship is between the CDD and the Golf Course? The golf course is owned and managed by the CDD and is therefore open to the public versus a private club. All revenues from the golf course operations are deposited in the CDD bank accounts that are managed by the CDD and its management company (Rizzetta). The funds created cover the costs and operation and maintenance of the course. When does the CDD meet? The CDD has their monthly meetings every third Monday of the month. They meet in the Lefe Room at 2PM. All meetings are also listed on the CDD website, www.waterlefecdd.org . Any interested residents are welcome to come to the meetings in person or via phoning in. Agendas for each meeting will also be posted online ahead of time.

Page 16 of 21 What Committees are currently formed? There are currently 4 committees formed by the CDD. Residents are welcome to come to the committee meetings and voice any public comments. Below are the different committees and a brief description. Landscape Committee: The Landscape Committee works with our Landscapers to help maintain the landscape in all common areas. This committee will make recommendations to the board about plantings within the community to include the annual flower rotations and projects that may enhance the public areas. A recent project of the committee was to install a monument at the Mossy Branch Gate and to enhance the landscaping there. Golf Committee: The Golf Committee works with the Golf Club staff to discuss various items to include but not limited to course conditions, upcoming events, previous events, financials. Committee members provide feedback and advice to management staff. Members consist of residents and nonresident golf members. Safety Committee: The Safety Committee is a newly formed committee that focuses on the safety and security of the committee. They review current policies and will make recommendations to the CDD Board if they feel any amendments are necessary. Recently the committee has been reviewing speeding within the community and analyzing possible traffic calming measures. Capital Planning Committee: The Capital Planning Committee advises the CDD Board on any future capital projects. They look for future projects that could improve community or golf club amenities for the benefit of residents. The committee will also asses the priority of capital projects in regards to budgeting and make recommendations to the CDD Board. Where can I find CDD and Committee documents? The CDD has a website, www.waterlefecdd.org , where all meeting minutes are posted online. Other documents listed online include committee documents, financial documents, and ordinance to establish documents. Page 17 of 21 WATERLEFE TERMINOLOGY Association Terms Amendment: A written statement that expresses a change or revision to the Declaration of Covenants or supporting documents. Covenant Amendments require an affirmative community vote prior to adoption. Assessment/dues: Fees homeowners pay to the association to cover the cost of day-to-day operations. This includes maintenance expenses, management fees, landscaping expenses, insurance premiums, and the like. MPOA fees also include the operating costs of River Club amenities. A portion of the quarterly homeowner assessment/dues also goes to the association’s reserve fund. With the help of a reserve study, the MPOA maintains this fund to pay for future major repairs and replacements of common elements. Board of Directors: A board of directors is a requirement for a property owners’ association to function properly. These elected volunteer officials are responsible for all operations of the association and ensuring the community governing documents are followed and enforced. Bylaws: A written document that describes the administrative and operational requirements of the Association including, but not limited to the calling of meetings of Members and the Board of Directors and the determination of voting requirements and quorums. Common Expenses: All of the expenses of an Association that are incurred for the benefit of all members. Common Interest Development: A development that is governed by a Property Owners’ Association. Common Surplus: The excess of all revenue received by the Association over the Common Expenses. Governing Documents: A collective term for the association’s internal documents that govern the relationship between the owners and the Association and which provide for the legal structure and operation of the property owners’ association. They include articles of incorporation, bylaws, declaration or CR&Es, rules and policies. Homeowner: A unit owner and member of the Waterlefe Master Property Owners’ Association Member: All Waterlefe homeowners are members of the MPOA by virtue of homeownership. A member of the Golf Club or Marina Club is defined by purchase of a membership. Proxy: (1) An agent that is authorized to act for another person such as casting a vote at a meeting of the members of the master property owners’ association (MPOA). (2) A proxy form may be utilized by an owner as an absentee ballot for association elections. Quorum: The minimum number of persons that must be present at an official meeting in order to legally conduct businesses at that meeting Resident: Anyone that resides within Waterlefe Golf & River Club, including tenants of unit owners. Reserves: Funds that are set aside by a master property owners’ association to pay for the repair, replacement, or beautification of different components of the association’s property

Page 18 of 21 Community Terms River Club: The River Club is the Waterlefe main event and dining space, with amenities including the pool, tiki bar, main dining room, bistro, bar, fitness center, and community library. Marina Club: A private equity club that offers use of the boat slips located behind the Waterlefe River Club. More information about the Marina Club can be found here. Golf Club: The Golf Club is Waterlefe’s semi-private golf destination with 18 holes to play and a grille room to enjoy after a round. Resident membership is encouraged but not required. More information about the Golf Club can be found here. The Shores: The Shores is a neighborhood association on the Manatee River, tucked away in a private gated section of the community. The Sound: The Sound is a neighborhood association comprised of 8 luxury townhomes on Fish Hook Cove, located near the River Club. The Watch I & II: The Watch and the Watch II are Waterlefe’s two luxury condominium associations, boasting beautiful golf and nature views. The Villas: The Villas section enjoy MPOA managed landscaping service as a limited common assessment. River Club All in One Card: The membership card issued to all homeowners which can be used as a form of identification, payment for River Club dining, and access to amenities. Guest Cards: Cards issued to registered renters & guests which are to be used as membership cards while a resident at Waterlefe. Guest card expiry dates coincide with the last day of residence.
