He has a diverse real estate practice which includes not only working closely on the development and financing of a number of premier stadiums and arenas across America, but also spending almost 35 years specializing in the acquisition, ground leasing, construction, financing, leasing and sales of major office buildings, hotel groups and hotel projects, apartment complexes and shopping centers throughout the United States. Charles has also worked with many foreign investors and foreign institutions on acquiring and financing many major office, retail, hotel, and residential projects throughout North America. He heads the Firm’s China Practice Group which represents American clients investing in and transacting business with China and Chinese clients doing business in the United States. The China Practice includes purchasing real estate in China, buying or building manufacturing facilities in China, importing and exporting goods to and from China and representing Chinese entities in transactions in the United States. Charles also heads the Firm’s separate Sports Stadium practice and mortgage lending practice in both mortgages backed securitized conduit loans and purchasing and selling large mortgage loan pools from and to government agencies and private financial institutions. Reid focuses on the financing, acquisition, development, and disposition of a variety of commercial property types, with a particular emphasis on medical office buildings and other healthcare related assets both in Texas and across the country. Reid also works closely with landlords and tenants in negotiating and drafting lease agreements for office, retail, and industrial uses. Reid approaches his practice with an enthusiasm for problem solving and a knack for fleshing out the key elements of a deal. He appreciates that timing is often crucial in a transaction, and strives to meet his clients’ needs as quickly and efficiently as possible without sacrificing quality. Prior to joining the firm, Reid spent several years representing clients before the Public Utility Commission of Texas, the Texas Commission on Environmental Quality, the State Office of Administrative Hearings, and various Groundwater Conservation Districts across the state. In this role, he primarily worked with electric and water utilities helping them navigate rate case proceedings, establish or expand service territory, acquire and dispose of assets, and develop new infrastructure. This experience taught him first-hand what systems need to be in place to allow a community to grow sustainably, and what resources need to be available to enable those systems to function properly. Reid enjoys drawing on this experience to help his development clients map out their plans and execute at each step of the process to get a project across the finish line. Sally assists the Real Estate team by: • Preparing and drafting correspondence, agreements, contracts, leases, and various easements; • Preparing calendar reminders of all critical dates that includes preparation of additional notices and updates to clients and team members on each matter; • Assisting counsel by preparing and reviewing documentation for both single and multi-facet acquisitions and sales that includes, but not limited to, title and survey review, all aspects of due diligence review, preparation and updating of closing checklists, preparation and updating of closing binders and the preparation of all closing documentation; • Closely working with all parties, including surveyors and title companies, for each closing; • Reviewing oil and gas leases; • Reviewing and assessing various property encumbrances; • Preparing bankruptcy and lien searches with respect to loans and foreclosures; • Performing UCC searches and filings on borrower entities with respect to new loans; • Conducting foreclosure sales as a substitute trustee for various lenders; review loan documents; • Preparing initial formations of corporate and partnership entities; conduct searches with various state and county jurisdictions and state secretary of state offices to search new, current and past entity listings.
