Over 40 years ago, we launched Computer Head Start in Williamsville, NY, as the first of the Advantage Co’s independently owned and operated tech adventures. Over a decade ago, the Obama Administration recognized the need to transition to a secure cloud deployment model for all 450+ federal agencies. Autonomic Resources answered the call to develop the highest-level-security federal cloud platform [based on the stringent NIST demands] that could be utilized by all federal agencies [including our alpha account, the Department of Defense] and all of their potential providers. Remarkably, we delivered the first FedRamp Authorized Cloud Platform well ahead of industry giants like AWS, Azure, Google, and IBM. License Agreement I Customer Name Ai Data Optimization’ Data Optimization 2.0 License Agreement [“Agreement”] is made and entered into as of _______________ [“Agreement Date”] by and between Ai Data Optimization LLC, with a principal place of business at 5110 Main St Williamsville, NY 14221 [“Ai Data Optimization”], and _____________________ [“Customer”], with a principal place of business at ________________________________ [Address]. Whereas, Customer is currently utilizing Ai Data Optimization’s data archiving services. Whereas, Ai Data Optimization is the owner of all rights, titles, and interests in the data solution product known as Data Optimization 2.0. Whereas, Customer desires to use Data Optimization 2.0, and Ai Data Optimization desires to grant Customer a one-year annually renewable license for Data Optimization 2.0 under the terms and conditions set forth in this Agreement. Now, therefore, in consideration of the foregoing premises and the mutual covenants contained herein, the parties agree as follows: 1. Grant of Data Optimization 2.0 License Ai Data Optimization hereby grants to Customer, and Customer hereby accepts, a non-exclusive, non-transferable, non-sublicensable annually renewable one-year license for unlimited usage of Data Optimization 2.0 solely for the purposes outlined in this Agreement. 2. Payment Schedule Customer agrees to pay Ai Data Optimization $300,000 [“five hundred thousand dollars”] for the unlimited use of an On-Premise deployment of Data Optimization 2.0 for one year. There are two payments: a. First Payment of $150,000 [“two hundred fifty thousand dollars”] is due within 30 days of the Agreement Date stated above; and b. Second Payment of $150,000 [“two hundred fifty thousand dollars”], less any credit, is due within 30 days of the Activation Date. 3. Activation Date The Activation Date is established by the full deployment of Data Optimization 2.0 as determined by Ai Data Optimization. The Activation Date is the actual start of the one-year term of the Data Optimization 2.0 License. For example, if the Agreement Date is February 1, 2025, and the Activation Date is determined to be March 10, 2025, the one-year term of the license will be from March 10, 2025, to March 9, 2026. 4. Restrictions Customer agrees not to: ● Rent, lease, sublicense, distribute, resell, lend, or commercially exploit Data Optimization 2.0. ● Reverse engineer, decompile, disassemble, or modify the Data Optimization 2.0 software in any way. ● Remove or obscure any proprietary notices or markings on Data Optimization 2.0. ● Use Data Optimization 2.0 in any manner that infringes upon any Intellectual Property rights. 5. Term and Termination This One-Year Agreement shall commence on the Effective Date and shall continue for a period of one year from the Activation Date unless earlier terminated as provided herein. This Agreement may be terminated by either party upon written notice to the other party upon the occurrence of any of the following events: a. A material breach of this Agreement by the other party that is not cured within thirty [30] days after written notice of such breach. b. Bankruptcy, insolvency, or dissolution of the other party. c. Ceased development or support of Data Optimization 2.0 by Ai Data Optimization. 6. Effect of Termination Upon termination of this Agreement for any reason, all rights granted to Customer under this Agreement shall immediately cease. Customer’s obligations shall survive the termination of this Agreement. Customer shall promptly: a. Return to Ai Data Optimization all copies of the Data Optimization 2.0 software in its possession or control, including all copies installed on any computers, servers, or other devices and all copies stored on any media, whether electronic or physical. b. Destroy any copies of the Data Optimization 2.0 software that cannot be returned to Ai Data Optimization. c. Certify in writing to Ai Data Optimization that it has complied with the foregoing obligations. d. Cease all use of Data Optimization 2.0. 7. Limitation of Liability To the fullest extent permitted by law, Ai Data Optimization’s liability for any claims arising from this Agreement shall be limited to the amount Customer paid for the services in the last three months. Ai Data Optimization is not liable for any indirect, incidental, or consequential damages. 8. Ownership Ai Data Optimization retains all rights, titles, and interests in and to Data Optimization 2.0 and all copies thereof, including all intellectual property rights embodied therein. All content, features, and functionality of Ai Data Optimization’s services, including but not limited to text, graphics, logos, and software, are the exclusive property of Ai Data Optimization LLC and are protected by applicable Intellectual Property laws. 9. Governing Law and Venue This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions. The parties further agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the courts of the County of Erie, New York. Page 37

Severability If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall remain in full force and effect. 12. Notices All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, upon receipt of facsimile transmission, or five [5] days after being sent by certified or registered mail, postage prepaid, return receipt requested.
