Dallas / Houston / krcl.comCommunity Development and Tax Credit FinanceThe Community Development and Tax Credit Finance team within our Business TransactionsPractice Group integrates the corporate, finance, public sector, energy and natural resources,and tax expertise that is needed to structure and execute financings and investments acrossmultiple assets classes, transaction types, and engagements involving a client’s use of one ormore of the myriad economic incentive programs and tools that are available for certaintransactions or offerings. Our team seeks to collaborate with our clients to formulate anoptimized approach to the integration of incentive programs to enhance the leverage theycan provide to our clients, their projects, and the sourcing of or investment of their capital. The universe of government-supported financing tools, including credit enhancements, taxcredits, grants, both federal and state, is truly vast, and in a nearly constant state of change.As soon as one program appears at the federal or state level, another can fall away orbecome underfunded or entirely unfunded. As such, we remain current on those publicfinancing tools most often employed by our clients, as well as those that emerge and havestaying power. Programs with respect to which we have provided guidance include state and federal taxcredits (including new markets, historic rehabilitation, renewable energy, and low-incomehousing), various Small Business Association financing programs and small businessinvestment company formation and approvals, conservation easements, CommunityReinvestment Act compliance, Opportunity Zone formation and financings, the USCIS EB-5immigrant investor program, along with many other incentive or benefit programs that arepublicly supported. In carrying out our work, attorneys on our Finance team have worked with tax creditinvestors, mainstream and non-bank lenders, developers, nonprofit organizations, communitydevelopment entities, municipal governments, economic development agencies, syndicatorsand qualified businesses both within the United States and, to date, with clients andprograms 23 other countries.

He began his career working closely with in-house counsel for two international corporations. With this experience, and his background in finance and economics, Ryan has developed a keen respect and understanding of the diverse needs of businesses across an array of industries. Ryan has developed an affinity for advising clients through the merger and acquisition process. He takes the time to understand both his client’s business as well as their goals. His varied experience helps him to anticipate potential hurdles and to determine the appropriate solution and response for each individual transaction. Specifically, Ryan has taken his understanding of trust and estate laws to guide closely held businesses in developing succession plans tailored to his client’s specific wants and needs. As a member of a fourth-generation farming family, Ryan appreciates the difficulty his clients may experience when designing and ultimately implementing a succession plan. Whether part of the general life cycle of the business or in conjunction with an acquisition, Ryan routinely coordinates with commercial lenders and borrowers to structure, draft, and negotiate various financing transactions. He represents private equity firms and strategic buyers and sellers in connection with both acquisitions and divestitures. Chair of the Business Transaction Practice Group, Michael also assists startups and mature businesses with their capital raise efforts, governance, and other corporate issues. Michael works with financial institutions, credit funds, and borrowers to structure, draft, and negotiate loan documentation for syndicated and bi-lateral asset-based and cash-flow financings, real estate financings, and other secured and unsecured credit facilities. In addition, he advises financial institutions and distressed asset funds in the resolution of distressed loans and real and personal property foreclosures. With a broad and diverse corporate practice that includes handling several aspects of both transactions and financings, Michael contributes a wide-angle perspective to his clients’ concerns and is readily available to help them in many different capacities. He takes a keen interest in the various businesses he advises across many industries. His educational background in accounting gives him an in-depth understanding of the numbers and how they fit into his clients’ commercial strategies. Michael particularly enjoys shepherding clients through mergers and acquisitions because these deals sit at the intersection of many different disciplines and always require a great deal of critical thinking. Although his broad practice encompasses nearly all forms of contentious business disputes, Tom frequently advocates on behalf of operators and service companies in oil-and-gas litigation. When royalties and other mineral interests are hotly contested, Tom is known for his thoughtful treatment—in the courtroom and on the papers—of the many intricacies that drive title controversies and deed-construction cases to successful conclusions. He represents clients in matters involving allegations of the underpayment and miscalculation of royalties; violations of continuous drilling and development obligations; and improper deductions for transportation, processing, and other post-production expenses. His diverse industry background also includes advising E&Ps and pipeline companies in mineral trespass and surface-use disputes, and in related proceedings for emergency and preliminary injunctive relief. In addition, Tom often assists operators and oilfield service providers navigate disputes surrounding the breach of supply, service, and confidentiality agreements and the theft and misappropriation of trade secrets.
