PAYMENTAccel Events Rentals accepts most typical forms of payment(please inquire with sales for payment details). A credit card mustremain on file for the full duration of the rental period. A bookingfee of 2.9% is typically charged (the fee is waived if cash orcheck payment is made). Final counts for customized or speciallyprocured products are due with payment in full 4 weeks prior todelivery date. Late added product or service additions may incuradditional late fees and are due in full upon approval of theadditional invoice. Late additions are classified as adjustmentsmade within 2 weeks of the scheduled event delivery. The renterauthorizes Accel Event Rentals to charge the credit card on filefor remaining incidentals upon completion of the event. 50% Non-Refundable Confirmation Deposit A 50% non-refundable deposit is required for confirmation andreservation of rental items for the referenced event date.Invoices without a deposit are considered not confirmed until adeposit is received to reserve the items listed on the invoice.Quotes without a deposit will expire in 14 days. 100% of balance to be collected 28 days prior to event. Full pre-payment of equipment is due 28 days prior to event. Ifthe event is booked within 30 days full prepayment is required toconfirm order. The renter authorizes Accel Events & Tents tocharge the credit card on file for the balance due 28 days prior todelivery in accordance with payment stipulations as outlined insection 1. Taxes and Fees The renter is responsible for payment in full of all taxes, fees andgovernmental assessments, including without limitation, Hawaiigeneral excise taxes (currently 4.712%), applicable to the rentedproduct. page 26

Damage WaiverA standard 8.5% damage waiver fee is applied to products only(services are excluded) on all orders. The damage waiver releasesthe renter from accidental physical damage done to Accel’sproduct during the duration of the rental period, including anyrental extensions. Exceptions to damage waiver coverageinclude injuries and/or bodily harm, property damage done by theequipment, theft, mysterious disappearance of equipment anddamages resulting from gross negligence and/or intentionalabuse or misuse of the equipment. The damage waiver does notoperate as insurance and is not a substitute for insurance asrequired by certain venues. The renter has the choice to opt outof the damage waiver by accepting responsibility for any productdamage as reasonably assessed by Accel staff after the event.To exercise this option, the Damage Waiver Declination Formmust be signed and returned before the scheduled eventdelivery. CancellationsIn the event of any cancellation by the Renter, the followingcancellation charges apply to compensate Accel EventRentals for its time, energy, costs and expenditures inpreparing for the performance of its obligations to Renter: a. Certificate of Insurance (COI) Certificate of Insurance (COI) is required when the renter isattaching to any of Accel Event Rental’s products. COIshould reflect a Commercial General Liability Policy with minimum limits of $1 million per occurrence, and $2 milliongeneral aggregate limit, naming Accel Events LLC as anadditional insured/certificate holder for the event. Receipt and Inspection of EquipmentThe renter assumes responsibility for rented products uponreceipt, inspection, and examination of the rented items.Accel Event Rentals assumes all rented products are in safeand good operating condition as deemed acceptable by therenter once the Accel representative checks out with therenter. If the renter is not present, a representative of therenter may complete the checkout process. Ordinary Wear and TearIt is the renter’s responsibility to provide a safe environment forthe rented product for the full duration of the rental period.Ordinary wear and tear of rental items is to be expected and isdefined as “normal and reasonable deterioration resulting fromthe proper and intended use of the rental product.” Should anyrental items get lost or damaged during the rental period, it is thesole responsibility of the renter to replace these items in full. Thedecision for replacement, repair, and/or cleaning fees will bedetermined by Accel Events & Tents. The renter may ask forjustification of the replacement, repair or cleaning charges. d. a. Tenting Tent products are not intended to be used as a shelter fromsevere weather. Evacuate immediately if threatening weatheroccurs (or is forecasted) or any condition arises concerning thesafe use of this product. Threatening weather includes electricalstorm systems, moderate to high wind (excess of 38mph), heavyrains, snow, or any condition that raises doubt to the tent’sstructural integrity. Accel Events and Tents reserves the right torefuse set-up or impose breakdown should such conditions beprevalent. If Block & Rolls (or Water Barrels) are not reflected on your order,we plan to stake into the ground to secure the tents. We muststake 3-4' into the ground to safely secure the structure. Pleasehave any water, electrical, gas, etc. lines marked if they run alongthe area where we are placing the tent. Accel will not be liable forany damage to these lines if they are not properly marked. b. Dishes & Glassware All excess food and liquid must be disposed of, and the dishesand glassware should be put back into the containers they weredelivered in. An additional labor fee will be assessed if our teamneeds to collect the dishes and glassware from around thevenue. c. Tables & Chairs Tables and chairs should be stacked in a central location (andback on pallets when applicable) if Accel has not been contractedfor the set-up and breakdown of these items. Receipt and Inspection of Equipment ContinuedIf no one is present for receipt and inspection of the product,Accel Event Rentals will complete all services as contracted onthe invoice in the safest way possible before leaving the deliverysite. Delivery, Set up and Breakdown Delivery and return windows for arrival are required for all eventsin which delivery and/or breakdown is needed. Set up andbreakdown of certain items are included in the product rental fee.Tables, chairs and special service requests are charged aseparate set up/breakdown fee as noted in the services sectionof the invoice. It is the renter’s responsibility to provide AccelEvent Rentals with a layout of the desired product placement forset up as well as ensuring that the product is unobstructed forboth set up and breakdown. If set up and breakdown charges donot appear on the invoice, Accel is not responsible for thoseservices.a. Venue Access It is the responsibility of the Renter to ensure that all reservedrental Property meets the accessibility parameters of thedelivery location/venue. If, upon delivery, a product does not fitinto the location/venue (including doorways, elevators orstairwells), Rental Agreement charges will still apply to Propertydeemed unusable. Refunds on unused Accel Event Rentals RentalProperty will not be given. Return of PropertyAccel Event Rentals is responsible for verifying the quantitiesand condition of all rental Property upon pickup or return of theProperty. Except for Rentals covered in the Damage Waiver Fee,the Renter shall be liable for all damages to, or loss of theProperty incurred prior to return to Accel Event Rentals, and allcosts incurred by Accel Event Rentals in repairing or replacingdamaged or lost Property. If the rental Property is not returned orin good condition on the return date, prorated rental feescontinue daily until the Property is either returned or restored togood condition.page 30

Assumption of Risk The renter acknowledges that the possession, use,transportation and/or storage of the rented product may giverise to the risk of personal injury and or/property damage. Therenter voluntarily assumes all such risk and releases Accel EventRentals and all associated rented product, from any liens,liabilities and claims arising in connection with the same. Thisincludes, but is not limited to, all claims arising from or inconnection with our negligence (other than intentionalmisconduct), damage due to acts of God, and/or usage of therented product. Equipment FailureIn the unlikely event that any of the rented product fails to start,breaks, malfunctions, becomes unsafe or needs maintenance orrepair, the renter agrees to immediately discontinue use andnotify a representative of Accel Event Rentals. The renter agreesto not attempt to repair or have a third-party attempt to repairany of the rented product. Failure to notify Accel Event Rentals ina timely manner of equipment failure and/or attempting to fix therented equipment may result in the renter being charged for thefull duration of the rental period and/or costs to replace thedamaged equipment. Contract Enforcement Renter agrees to pay for all Accel Events & Tents’ attorney feesand related costs that may be incurred by enforcement of ourrights under this Contract whether a suit is filed. Indemnity/Hold HarmlessRenter agrees to indemnify and hold Accel Event Rentalsharmless from and against any and all third party’s liability, claims,demands, damages, judgments, attorneys' fees and costs ofevery kind and nature including, but not limited to, injuries ordeath to persons and damage to property arising out of the useof rental Property if the equipment has been used improperly or inan unsafe manner or for something other than its intended use(for example, standing on a chair). page 31

Limitation of LiabilityIn no event shall either party be liable for any lost profits, indirect,special, incidental, consequential or punitive damages, or cost ofprocurement of substitute products or services, however causedand under any theory of liability, whether in contract, tort(including negligence and strict liability) or otherwise, even ifadvised of the possibility of such damages. Except as providedby law, the aggregate liability of either party for claims arisinghereunder or otherwise shall not exceed the amounts paid byRenter hereunder for the rental Property. Any action for breach ofthis Agreement must be commenced within one year after thecause of action has accrued. Force MajeureAccel Event Rentals' performance shall be excused where it isprevented or delayed by war, actual or threatened act ofterrorism, strike, embargo, riot, power outage, explosion,machinery breakdown, accident, inability to obtain labor ormaterials, governmental restrictions or regulations, fire, flood,inclement weather, earthquake, act of God, or other causesbeyond Accel Party Rentals' reasonable control. Unconditional Obligations The renter acknowledges that the obligation to pay all rent andother amounts due, and to perform all the terms of this contractshall be absolute, independent and unconditional. This obligationis not limited to or terminated by any unanticipated fact(s) orcircumstance(s), unless the obligation to pay or to perform thesame shall be limited or terminated by the express provisions ofthis Rental Agreement. You hereby waive, to the extentpermitted by applicable law, any and all rights you may now orhereafter have, by law or otherwise, to terminate this RentalAgreement and/or any of your obligations under it. page 32

Future Rentals The client acknowledges the terms of this Contract will bedeemed to apply not only to the rented equipment and otheritems (if any) identified as Accel Events & Tents rental property,but also to all additional equipment and items you may rent orpurchase from Accel Events & Tents, whether on the date of thisContract or at any time in the future (exception only applicable torented equipment with respect to which the client executes anew Rental Contract). Credit Card Authorization The client irrevocably and unconditionally authorizes AccelEvents & Tents to immediately charge the credit card on file atthe times set forth by this Contract as outlined in sections 1-3 tosuch limitations as may be set forth in applicable law. The client isaware of all estimated charges due under this Contract andagrees to indemnify, defend and hold harmless Accel Events &Tents with respect to the same. Late Fees Accel Events & Tents reserves the right to charge interest to theclient for any unpaid balance(s) due to the highest amountpermitted under applicable law, until the invoice(s) is paid in full.Interest applies, but is not limited, to late payment due toreturned checks or a declined credit card, or failure to returnrented items at the agreed upon time. This includes rented itemsunavailable at the time of the scheduled pick up and/or if any ofthe terms of payment are not followed as outlined by thisContract. page 33

Compliance with Laws The renter agrees to comply fully at the renters’ sole cost withthe laws and regulations that pertain to the transportation,storage, and use of the rented product during the entire durationof the rental agreement.Entire AgreementThe parties acknowledge that they have read, understand andagree to this Rental Agreement’s Terms and Conditions and thatthese Rental Agreement Terms and Conditions set forth thecomplete and exclusive statement of the agreement betweenthe parties, and supersede any other proposal, agreement, orrepresentation, whether oral or written, and any othercommunications relating hereto. To the extent that these Rental Agreement Terms andConditions conflict with the terms of an Individual RentalAgreement or any terms and conditions set forth in Renter'sdocuments, these Rental Agreement Terms and Conditions shallprevail. No waiver or modification shall be effective unless signedby an authorized representative of the parties. page 34
