12 Journeys™ Partner Wholesale Purchase Application & AgreementAGREEMENT TERMSThis is an agreement between Mandelbrot Productions, LLC (“Mandelbrot”) and the named Applicant (“Partner”) on page 1.The parties to this Agreement understand and agree to the following:1. Authorization: Upon acceptance of this WholesalePurchase Application and Agreement by MandelbrotProductions, LLC, and payment of the ApplicationFee or annual Renewal Fee, along with submission ofany applicable state sales tax certificates, thePartner will be authorized as a Wholesale Purchaserof "The 12 Journeys" products, as listed in thecurrent Confidential Wholesale Price List provided byMandelbrot Productions. This status enables thePartner to purchase these products and accesssupport services according to the terms of thisAgreement and the current Authorized PartnerHandbook.2. Market Definition: For this Agreement, the "Personaland Professional Development Market" refers toentities in various sectors actively involved inpersonal growth, life coaching, and professional skilldevelopment. As a Wholesale Purchaser, the Partneris also an Authorized Partner of "The 12 Journeys"products. The Par tner is authorized to distributethese products exclusively to customers within thismarket, leveraging their role as a provider of relatedservices.3. Partner Representation: The Partner confirms theyare an individual or a legally established entity inNorth America, free from conflicting agreements,and authorized to enter into this Agreement.4. Wholesale Purpose Representation: The Partneraffirms that their participation as a WholesalePurchaser is not for the purpose of obtainingdiscounted prices for their employer.5. Acknowledgment of Materials: The Partneracknowledges receipt of the latest ConfidentialWholesale Price List and Authorized PartnerHandbook. These documents, subject toamendments as outlined in Paragraph 13, form anintegral part of this Agreement. The Partner agreesto adhere to the Code of Conduct and ProfessionalMarketing Standards as detailed in these materialsand ensures the same compliance from theiremployees.6. Independent Status: The Partner must not representthemselves in any manner suggesting they are anemployee or agent of Mandelbrot Productions. Therelationship established by this Agreement is purelythat of independent entities.7. Legal Compliance and Indemnification: The Partneragrees to abide by all relevant laws and regulationsin their business operations and related services,including but not limited to anti-bribery andanti-corruption laws. The Partner is responsible forall taxes arising from this Agreement, except thoserelated to Mandelbrot Productions' income. ThePartner will indemnify Mandelbrot Productionsagainst any liabilities arising from breaches of thisAgreement or legal non-compliance.8. Rights and Limitations: Partner recognizes that allrights granted in this Agreement are non-exclusive.The Partner is authorized to publicly display andmarket "The 12 Journeys" products solely for resalepurposes in North America. The Partner has noexclusive territorial or market rights for theseproducts and must not imply or assert other wise.The Partner is prohibited from reallocating ortransferring any territorial or market rights,combining orders with other purchasers, or usinganother purchaser’s account for orders.9. Confidentiality Obligations: The Partner agrees tomaintain the confidentiality of the Authorized PartnerHandbook, Confidential Wholesale Price List, andother proprietary information provided byMandelbrot Productions. The Partner must protectthis confidential information with the same care astheir own, ensuring at least commercially reasonablemeasures.10. Intellectual Property Acknowledgment: The Partneracknowledges that Mandelbrot Productions retainsall intellectual property rights, including copyrights,trademarks, and patents associated with "The 12Journeys" products. Usage of these intellectualproperties is subject to strict adherence to theguidelines provided in the Authorized PartnerHandbook.11. Product Integrity and Use: The Par tner understandsthat "The 12 Journeys" products are protected underintellectual property laws. Any unauthorizedreproduction, modification, or other forms ofexploitation are strictly forbidden unless expresslypermitted in writing by Mandelbrot Productions.12. Finality of Sales and Return Policy: All product salesare considered final upon receipt of the order byMandelbrot Productions. Returns are not acceptedexcept in cases of defective products, subject towritten authorization from Mandelbrot Productions.13. Amendments and Updates: Mandelbrot Productionsreserves the right to modify the terms, including theConfidential Wholesale Price List and the AuthorizedPartner Handbook. Any changes will becommunicated and become effective as specified,with precedence over previous terms in case ofconflict.14. Training Requirement: The Partner must ensure thatat least one member of their organization completesthe requisite "JumpStart" training within 6 months ofentering into this Agreement, with failure to complyresulting in termination of the Wholesale Purchaserstatus.15. Authorized Partner Benefits and Access: As long asthe Partner maintains their Authorized Partnerstatus, they will have access to benefits andresources as described in the current AuthorizedPartner Handbook. System Access and Responsibility: MandelbrotProductions, LLC will grant the Partner access to thedesignated online portal, complete with a uniqueusername and password, within five business daysfollowing the Agreement's acceptance. The Partneris accountable for all usage of this system, whetherdirectly authorized or not, and agrees to defend andindemnify Mandelbrot Productions against anythird-party claims resulting from their use of thesystem.17. Compliance and Risk Acknowledgment: The Partneragrees to adhere to all service terms associated withthe online portal and to inform end users of theseterms. The Partner acknowledges that the use ofthis system, dependent on internet and technology,is at their own risk.18. Liability and Force Majeure: Neither party is liable fordelays or failures in fulfilling obligations under thisAgreement due to events beyond their control,including natural disasters, wars, governmentregulations, and other unforeseen disruptions.19. Disclaimer of Warranties: Mandelbrot Productionsprovides all products and services, including theonline portal, on an "as is" basis. There are nowarranties, express or implied, guaranteeinguninterrupted or error-free service.20. Limitation of Liability: Mandelbrot Productions'liability under this Agreement is limited. They are notresponsible for indirect, incidental, or consequentialdamages. The total liability will not exceed the feespaid by the Partner.21. Termination Terms: Either party may terminate thisAgreement with a 30-day written notice. Upontermination, the Partner is responsible for pendingorders but is not entitled to refunds of any fees paid.22. Renewal Fee and Status: The Par tner acknowledgesthat to maintain their status as a WholesalePurchaser of "The 12 Journeys" products, an annualRenewal Fee is required. This fee is due byDecember 31st of each year. Non-payment will resultin the loss of Wholesale Purchaser status andbenefits, as detailed in the Authorized PartnerHandbook. Reinstatement conditions are alsooutlined in this handbook.23. Automatic Renewal Option: The Partner has theoption to automatically renew this Agreement eachyear. Opting for automatic renewal may qualify thePartner for a discount, as determined annually byMandelbrot Productions. The Renewal Fee will becharged automatically to the Partner's account, withnotification provided at least 30 days prior to thecharge. Partners can cancel automatic renewal bygiving written notice before the current term ends.Without renewal, the Agreement will terminate afterthe current term.24. No Guarantee of Profit or Sales Volume: MandelbrotProductions does not guarantee specific profits orsales volumes from the resale or use of "The 12Journeys" products.25. Governing Law and Jurisdiction: This Agreement isgoverned by the laws of a specified state, and anylegal actions must be brought in designated courtswithin that state.26. Assignment and Transfer Restrictions: The Partnercannot assign their rights or obligations under thisAgreement without prior written consent fromMandelbrot Productions.27. Severability and Enforcement: If any provision of thisAgreement is found invalid or unenforceable, it willnot affect the remainder of the Agreement.Mandelbrot Productions' failure to enforce any termdoes not waive that term.28. Data Protection Compliance: MandelbrotProductions will process the Partner's personal dataas necessary for this Agreement, in compliance withapplicable data protection laws.29. Acknowledgment and Entire Agreement: By signing,the Partner acknowledges understanding andagreement to all terms. This Agreement supersedesall prior communications and cannot be modifiedexcept as outlined in the Agreement.30.
