1 0 EXECUTIVE SUMMARY This business plan has been prepared for the purpose of maximising the potential of a Yorkshire based business possessing a unique product for a developing global market This plan sets out an intent to refashion the business organisation whereupon investment is sought to enable Consolidation of position in the United Kingdom as the company increases its market share and revenue The undertaking and obtaining of approvals and certification for various recognised international fire testing and or standards such as FM Global UL VDS IMO The sourcing of personnel for market development of the company s products and systems and the establishing of business units in selected European locations including the verification and choice of suitable strategic partners The manufacturing distribution and intellectual property for the systems and products are held presently in three related companies see Fig 1 It is intended that the business would be restructured with the distribution and manufacturing companies both becoming subsidiaries of Dual Mist International Limited see Fig 2 The existing companies are owned equally by Peter Duval and Paul Cobb with the former controlling the distribution of product through Premier Mist UK Ltd and the latter in control of product manufacture through DualMIST Ltd In order to maintain continuity and a wider promotion of the DualMIST brand the trading name of Premier Mist is to be rebranded as DualMIST Systems UK Ltd

2 0 EVOLUTION OF THE INDUSTRY AND COMPETITIVE ANALYSIS The conventional manner of providing fire protection to property and life therein has been via wet sprinkler installations In simplistic terms water is distributed at low pressure through a piped system complete with nozzles set to discharge if the ambient temperature reaches a certain heat in proximity to the nozzles Based on an archaic but widely accepted calculation of water density sprinkler systems have been installed in buildings of various types for over a century and their utilisation in buildings of certain types have become over this period a matter of statutory requirement Water sprinkler systems are not the only fire suppression systems available with other applications making use of gaseous alternatives as well as various misting systems coming into being in more recent times It is accepted generally in the Fire Industry that high pressure water mist systems are the most effective suppression systems available The widespread application of the same in commercial terms has been prevented by its prohibitive cost high pressure equals high cost of provision in terms of required equipment and material specifications of pipe and fittings The introduction of low pressure water mist systems is a successful attempt to take the performance virtues of the high pressure misting systems and place it in a commercially sustainable environment taking in effect the best of both worlds performance close to high pressure misting levels but at a cost to the system purchaser favourable to that of underperforming and outdated sprinkler systems The minute size of water droplets in misting systems presents a challenge as to how to provide the droplet with sufficient velocity to reach a particular fire and high pressure was thought to be required to achieve this DualMIST overcame this technological challenge through the introduction of a dual port system in the unique nozzles whereby slightly coarser water droplets assist in helping the finer droplets reach the fire This allows the utilisation of lower pressure and enables significant cost reductions Overall in comparison with traditional sprinkler systems low pressure misting technology has the following advantages Cost savings enabled due to smaller size of pipework and fittings and a less labour intensive installation process Better performance in a fire safety and fire suppression comparison as proven in headto head testing verified by recognised testing authorities More environmentally friendly by using and storing significantly less water and enabling a smaller carbon footprint for buildings The emergence of Low pressure water mist in the UK has been underpinned by the recent publication of British Standards that relate specifically to this technology such that the same is now an accepted alternative to a conventional type sprinkler system for land based application to inter alia Schools Offices Hotels and Residential developments Premier Mist utilising DualMIST technology has surpassed all British Standard fire test protocol and are presently the only company to hold formal fire test approval to both the residential and commercial published British Standards Water mist is a developing market and the qualification of any system and or proprietary component is granted only on the effectiveness of the respective systems performance to published fire test protocol Whereas conventional sprinklers are widely accepted on the premise of a calculation of water density per square meter This remains an acceptable practice throughout Europe South East Asia and North America

The UK market alone for fixed fire suppression is considerable and it was reported by Fire Industry Association FIA that a total of 406 000 000 was spent on sprinkler type systems in the year 2016 and it is widely accepted that water mist will take an increasingly significant share of this level of revenue over the next five years and beyond Having passed all British Standard fire testing with DualMIST and with now an established business in the UK it is the intention of the business owners to undertake further fire testing for qualification to the European market with the incorporation initially of DualMIST Systeme Deutsche GmbH and subsequent fire test approval to Factory and Mutual FM and Underwriters Laboratories UL for global acceptance The fire test standard applicable in the UK is most stringent and the challenges within each test mirror or exceed those prevalent within the intended approval process via VDS recognised throughout Europe and German based FM and UL This affords sufficient comfort of success and qualification to a worldwide market to what is currently available to a limited amount of participant players A more detailed analysis of our planned infiltration of the European market is set out in section nine There are presently only four companies operating in Europe with tested low pressure water mist systems in a market that once may have been a niche one but is clearly set to become much more widely accepted on a continuing basis SPRINKLERS WATER MIST

3 0 BUSINESS PRECIS Premier Mist UK Ltd was incorporated in January 2012 for the sole purpose of developing an effective low pressure water mist solution for the UK market its founder member Peter Duval commenced trading from modest offices in Wakefield and proceeded to work on designs for a nozzle to service the domestic and residential market At this time there were no British Standards albeit a draft for development standard DD had been developed by a collective of technical representatives from the Building Research Establishment BRE and the British Standards Institute BSI Premier Mist using their type one nozzle were one of two companies to test successfully to this draft standard the other being PREVENT Fire Systems from Norway who using a UK partner were successful in overcoming the then five fire tests applicable to the British draft standard for residential application BS DD 8458 Both Premier Mist and Ultra Sure Fire using PREVENT technology proceeded to market their products for residential application with test parameters set at 16m2 coverage per water mist nozzle Premier Mist further progressed its testing regime to the equivalent testing for commercial use and were soon awarded a lucrative contract for the design and implementation of its systems to nine new build London Fire Stations The main contractor was Kier Construction and they were able following considerable due diligence to appoint a company in its relative infancy to undertake the works vide Premier Mists successful testing to the then commercial draft fire test standard BS DD 8489 The contract proceeded in 2013 and was worth over 500 000 to Premier Mist Critically during the early stages of the contract a technical representative of London Fire service LFB questioned the suitability of DualMIST to the appliance bay area s cumulating in the their insistence of further stringent fire testing to warrant inclusion to these areas of the project Working in conjunction with the BRE and LFB Premier Mist were tasked to undertake a stringent fire challenge in direct comparison to conventional sprinklers whereupon a fast developing fire was replicated originating from within a fire engine These tests were reported by the BRE and are the property of Premier Mist Extracts are provided herein from the report which emphatically evidenced the superiority of DualMIST to that of a standard sprinkler system when tested against fires of significant fire loading and at high level a testimonial is provided herein from the managing director of Kier Construction citing our performance and the relevance of these additional fire tests see Fig 3 LFB Fire Station Appliance Bay Simulation

3 1 Overview of Business Premier Mist is a self sufficient business providing a specialist turnkey fire suppression solution to a wide spectrum across the UK The company employs directly all management design and field based engineers and led by Peter Duval they engaged the services of HPC Limited a Nottingham based company to produce the DualMIST nozzles on a sub contract basis Paul Cobb is the owner of HPC and Hemlock Engineering Ltd both businesses specialise in CNC milling and turning and have a successful trading history extending over 20 years with a client base that includes Rolls Royce Dover Corporation Knorr Bremse Group and Vitec Group Given the clear synergy between the businesses it was agreed that Paul Cobb would assist in the development of Premier Mist by way of capital investment Peter Duval and Paul Cobb commenced in the reconfiguration and improvement of the DualMIST nozzle and after undertaking several fire test trials at the BRE were ready to retest to the soon to be published British standards BS 8458 2015 and BS 8489 2016 respectively A detailed overview of system testing is provided in the following section Premier Mist continues to flourish with a revenue growth rate from inception of 835 This tremendous rate of growth is clearly the result of the uniqueness and efficiency of the company s product but to its ability to market and implement the same In the company s first trading year it returned a respectable sales level of 265 000 despite making no sales at all in the first 6 months of trading In year two sales increased by 175 with turnover at 723 000 In year three sales again increased by 105 to 1 486 000 Sales increased significantly in years three and four to 2 281 000 and 2 460 000 respectively It should be noted that during this period the company had embarked on British Standard fire testing programmes at much cost and distraction to its general business whilst also implementing at a further cost the relocation of its head office all of which was needful to enable eventual expansion and growth The growth of the company as summarised in see Fig 4 whilst impressive has indeed been hampered by the requirement to self finance the necessary product development and testing

4 0 FIRE TEST APPROVAL TO BS 8458 2015 During the period 2013 to 2016 Peter Duval of Premier Mist worked closely with the Building Research Establishment BRE GLOBAL in the development and eventual approval of the DualMIST products to gain qualification to a vast UK fire suppression market The approval of fire protection products and systems must be undertaken by a recognised fire test laboratory The BRE is an independent third party approvals organisation offering certification to services and systems to an international market thus ensuring that fire security environmental and construction products provide the quality of performance and protection that they should The BRE were largely responsible for the development and subsequent publication of the British standards for water mist and due to the significant investment provided by Premier Mist during the pre publication process Peter Duval was elected as a technical representative to the British standards committee assigned to finalise test protocol and system parameters for standards publication In November 2015 it was announced that formal publication of the water mist standard for residential and domestic premises had been granted by the BSI In March 2016 Premier Mist were the first company to receive a validated BRE fire test report to BS 8458 incorporating the DualMIST DM4 R nozzle The significance of being the first and presently only company to attain approval was magnetised by the truly exceptional performance and extensive parameters attained during the test process The system was tested utilising the DualMIST nozzle within the largest permitted test enclose of 10 meters by 5 meters thus affording an acceptable nozzle spacing of 5m between each nozzle with an overall coverage of 25m2 The nozzles recorded flow discharge during each the 6 fire tests of only 50 litres per minute giving an incredible coverage of only 2mm per square meter BS 8458 Summary of Conclusion
